Driver Service Agreement

The agreement governing independent drivers on the Bro platform.

DRIVER SERVICE AGREEMENT

1. INTRODUCTION

This Driver Service Agreement (“Agreement”) is made and entered into between:

Bro Cabs (Pty) Ltd (Registration No: 2025/129848/07), hereinafter referred to as “the Company”, and all the drivers signing up to be a bro driver, hereinafter referred to as “the Driver”. Collectively referred to as “the Parties.” This Agreement governs the terms under which the Driver provides e-hailing transportation services to riders using the Bro Cabs App Platform.

2. NATURE OF ENGAGEMENT

1. 2. 3. The Driver acknowledges that they are not an employee of Bro Cabs.

The Driver operates as an independent subcontractor, responsible for their own vehicle, tax obligations, fuel, insurance, and all related costs. Nothing in this Agreement creates an employer-employee relationship, partnership, or joint venture between the Parties.

3. REQUIREMENTS FOR PARTICIPATION

To operate on the Bro Cabs platform, the Driver must:

a) Hold a valid Driver’s License and PrDP (Professional Driving Permit). b) Provide a valid vehicle license disc and proof of roadworthy condition. c) Complete background verification. Pay the once-off Admin Fee of R300 and maintain the monthly Subscription Fee of R600/ R700 to remain active on the platform. d) Maintain active vehicle insurance. e) Uphold all local, municipal, and national transport regulations as per the National Land Transport Act (NLTA).

4. DRIVER RESPONSIBILITIES

The Driver shall:

a) Provide safe, courteous, and reliable transport services to all riders. b) Ensure punctual arrival and completion of trips. c) Keep their vehicle clean, roadworthy, and branded (as per Bro Cabs branding requirements). d) Not engage in reckless driving, substance abuse, or misconduct while operating under the Bro Cabs platform. e) Refrain from any discriminatory, abusive, or harassing behavior toward passengers or other drivers. f) Report all incidents, accidents, or rider complaints immediately through the RT Ticketing System. g) Maintain confidentiality of all passenger information and Company data.

5. PERFORMANCE EXPECTATIONS (KPIs)

To ensure service quality, the following Key Performance Indicators (KPIs) apply:

  • Category Expectation / Standard
  • Pick-up Time Arrive within 5–10 minutes of trip acceptance.
  • Drop-off Accuracy Follow GPS route to designated location
  • without deviation.
  • Customer Rating Maintain a minimum 4.5/5 average rating.
  • Trip Acceptance Rate At least 80% of trip requests accepted.
  • Trip Completion Rate Minimum 95% of accepted trips completed.
  • Incident Reporting All incidents logged on the in app reporting system within
  • 24 hours. (Driver needs to call customer care)
  • Conduct & Dress Code Professional attire and respectful engagement
  • with riders.

Failure to maintain these standards may result in suspension, retraining, or deactivation after review

by the Bro Cabs Operations Team.

6. OPERATIONAL TERMS

1. The Driver may log in and work at their own discretion, subject to compliance with traffic and

platform rules.

2. The Driver must not share, rent, or transfer their account or login credentials.

3. The Company reserves the right to suspend or deactivate a Driver account for misconduct,

poor performance, fraud, or breach of this Agreement. The Driver is responsible for ensuring adequate mobile data, functional smartphone, and active GPS connection. The Driver must adhere to Bro Cabs’ Safety Protocols, including use of the in-app panic button and incident reporting procedures.

7. PAYMENT TERMS

The Driver retains 100% of the fare from each trip completed through the platform. Bro Cabs earns revenue through a monthly subscription fee, not per-ride commission. Subscription payments must be made via the in-app Driver Wallet or designated bank partner. Failure to pay the monthly subscription fee may result in temporary suspension until payment is made. Drivers may receive additional incentives or bonuses based on campaign performance or rider feedback. Drivers will be charged a transaction fee of 1.75% per trip Drivers will be charged a R2 google maps fee per trip

8. SAFETY AND COMPLIANCE

1. 2. 3. 4. Drivers must comply with all traffic laws and safety guidelines.

Drivers must participate in safety audits, refresher training, or re-verification if required. Any criminal conviction or suspension of licence must be immediately reported to Bro Cabs. The Company reserves the right to deactivate drivers who fail to meet security or verification standards.

9. CONFIDENTIALITY

Drivers must not disclose any information relating to passengers, routes, or internal business operations of Bro Cabs to external parties or competitors.

10. TERMINATION

1. 2. Either Party may terminate this Agreement with 7 days written notice.

Immediate termination may occur if the Driver:

Breaches the Agreement or Code of Conduct. Fails verification or is involved in criminal activity. Damages the brand reputation of Bro Cabs.

11. LIABILITY

1. Bro Cabs is not liable for any damage, loss, or injury caused by the Driver’s negligence or

misconduct.

2. The Driver is responsible for their own tax, insurance, maintenance, and compliance costs.

12. BRAND & MARKETING PARTICIPATION

Drivers may be requested to participate in Bro Cabs’ marketing campaigns, activations, or promotions. Participation is voluntary but recommended to increase visibility and earnings.

14. GOVERNING LAW

This Agreement is governed by the laws of the Republic of South Africa, and any disputes shall be resolved under South African jurisdiction.

15. ENTIRE AGREEMENT

This document constitutes the entire understanding between the Parties and supersedes all prior communications or agreements relating to the subject matter.
