MASTER PLATFORM TERMS

1. NATURE OF PLATFORM

Bro Cabs (Pty) Ltd ("Bro Cabs", "Company") operates a technology platform that facilitates connections between independent drivers and riders. Bro Cabs:

  • Does not own vehicles
  • Does not employ drivers
  • Does not directly provide transportation services
  • Acts solely as a technology intermediary

DRIVER AGREEMENT

1. DRIVER ELIGIBILITY

To qualify as a Driver on the Platform, you must:

Be at least 21 years old Hold a valid South African driver’s license Hold a valid Professional Driving Permit (PrDP) Be compliant with the National Land Transport Act (NTLA) and hold the required operating permit Have a roadworthy vehicle Maintain legally required insurance coverage Failure to maintain compliance results in immediate suspension.

2. INDEPENDENT CONTRACTOR STATUS

Drivers are independent contractors and not employees, agents, or partners of Bro Cabs. Drivers are solely responsible for:

  • Taxes
  • UIF

PAYE

Insurance Vehicle maintenance Regulatory compliance No employment benefits shall apply.

3. DRIVER SUBSCRIPTION TERMS

Drivers may be subject to:

Monthly Subscription Fee: R600 or R700 (unless otherwise updated) Once-off Admin Fee: R300 Subscription grants:

  • Access to trip requests
  • Platform visibility
  • Marketing support
  • Safety integrations
  • Non-payment may result in suspension without notice.

4. DRIVER OBLIGATIONS

Drivers must:

Accept trips in good faith Not discriminate Not solicit off-platform payments Maintain professional conduct Ensure passenger safety Repeated cancellations, fraud, or misconduct may result in permanent removal.

5. DRIVER INDEMNITY

Drivers indemnify and hold harmless Bro Cabs, its shareholders, directors, investors, officers, and affiliates from:

  • Any claims arising from accidents
  • Passenger injury
  • Property damage
  • Regulatory penalties
  • Criminal conduct
  • Traffic violations
  • This indemnity survives termination.

RIDER AGREEMENT

1. RIDER OBLIGATIONS

Riders must:

Provide accurate trip details Pay full fare Respect drivers and vehicles Not damage property Not request unlawful activity

2. FARE PAYMENT

Payments may be made via:

  • Card
  • Wallet
  • EFT
  • Approved payment gateways
  • All fares are final unless otherwise determined.

3. RIDER INDEMNITY

Riders indemnify Bro Cabs against:

Damage to driver vehicles Misconduct claims False reporting Chargebacks not based on fraud

WALLET TERMS

1. WALLET FUNCTIONALITY

The Wallet is a digital stored value system used for:

Ride payments Driver payouts Promotions Subscription fees Wallet funds:

  • Are not bank deposits
  • Do not accrue interest
  • May require KYC verification

2. PAYMENT PROCESSING

Bro Cabs complies with:

PCI-DSS standards South African financial regulations AML/KYC requirements (if applicable) All card data is tokenised and not stored directly by Bro Cabs.

3. FRAUD & REVERSALS

Bro Cabs reserves the right to:

Freeze wallets Reverse fraudulent transactions Suspend accounts under investigation

DATAFREE / ZERO-RATING CLAUSE

Bro Cabs may partner with telecom providers to enable zero-rated access. Zero-rating:

  • Is subject to third-party availability
  • May be suspended anytime
  • Does not guarantee uninterrupted service
  • Bro Cabs is not liable for telecom outages.

CYBERSECURITY & PCI COMPLIANCE

Bro Cabs implements:

Encryption standards Secure cloud infrastructure Firewall protection Regular security audits Tokenized payment storage Users acknowledge cyber risk and agree Bro Cabs is not liable for:

  • External hacking
  • Telecom failure
  • Data breaches caused by third parties

SAFER CITY EMERGENCY INTEGRATION CLAUSE

Bro Cabs integrates safety features including:

SOS button Real-time trip tracking Emergency partner routing (e.g., Safer City) for drivers Emergency services are:

  • Subject to network availability
  • Not guaranteed response services
  • Facilitated through third-party partners
  • Bro Cabs is not an emergency responder.
  • Users remain responsible for personal safety decisions.

STRENGTHENED INDEMNITY CLAUSE

All Users (Drivers, Riders, Advertisers) agree to indemnify:

Bro Cabs Its shareholders Investors Directors Officers Employees Technology partners Against all claims, including legal costs on an attorney-client scale.

ARBITRATION CLAUSE

Any dispute arising from these Terms shall be:

Referred to mediation first. If unresolved, referred to binding arbitration in Johannesburg, South Africa. Arbitration shall be conducted under AFSA rules. Arbitration shall be confidential. Arbitrator’s decision shall be final and binding. No class actions permitted.

TERMINATION

Bro Cabs may terminate accounts for:

Regulatory breach Non-payment Fraud Safety violations Conduct damaging to brand Termination does not waive indemnity rights.

FORCE MAJEURE

Bro Cabs shall not be liable for failure caused by:
